Article 2. Offers / agreements
2.1 All offers are without engagement and Penpal Junkie expressly reserves the right to change prices, especially when based on (legal) regulations. See also Article 3.6.
2.2 A contract is only concluded after acceptance of your order by Penpal Junkie.com. Penpal Junkie is entitled to refuse orders to certain conditions to the delivery, unless otherwise specified. If an order is not accepted, Penpal Junkie will let this know within ten (10) days after receipt of the order.
Article 3. Prices and Payments
3.1 The prices for the products and services are in Euros, including VAT and excluding handling and shipping, any taxes or other charges unless otherwise noted or agreed in writing.
3.2 Payment must be made without discount or compensation within fourteen (14) days after the invoice date for deliveries within the Netherlands, and within twenty-one (21) days after the invoice date for deliveries outside the Netherlands, unless otherwise agreed in writing.
3.3 Payment can be done by ideal, paypal, payment or receipt (by cash). When paying by bank, the date of payment to the date of crediting the giro or bank account Penpal Junkie.
3.4 If the term of payment is excided you are, starting from the day that payment should have been done, in default and must pay, from that day on, a default interest of 1% per month or part of a month on the outstanding amount. If payment is made after a demand by Penpal Junkie you must pay an amount of twenty five euros ( 25.00) for administration costs and if Penpal junkie outsources its payment collection, you must also pay collection costs, which are at least fifteen percent (15%) of the outstanding amount, subject to the jurisdiction of Penpal Junkie instead the actual extrajudicial collection costs.
3.5 If you are in default of any payment, Penpal Junkie is entitled (implementing) to suspend or dissolve the agreement and related agreements.
3.6 If the prices of the products and services increase in the period between the order and its execution, you are entitled to cancel the order or the agreement within ten (10) days after notice of the price increase by Penpal junkie.
Article 4. Delivery
4.1 The given delivery times by are only indicative. When the delivery time is crossed this does not entitle you to compensation or the right to cancel your order or to dissolve the agreement, unless the delay in delivery is such that you can not reasonably be expected to keep the agreement intact. You are then entitled to cancel the order or terminate the agreement where necessary.
4.2 The delivery of the products is made when the products are ready for shipment to you
Article 5. Retention
5.1 The ownership of products supplied is just, when your agreement with Penpal junkie has been fully met. The risk considering the products is your from the moment of delivery.
Article 6. Intellectual and industrial property
6.1 You must respect all intellectual and industrial property rights attached to the Penpal Junkie delivered products.
6.2 Penpal Junkie does not guarantee that the delivered products do not infringe any (unwritten) intellectual and / or industrial property rights of third parties.
Article 7. Commercials and liability
7.1 You are required to check if the products meet the agreement at delivery. When this is not the case, inform Penpal Junkie as soon as possible and in any event within seven (7) days after delivery, or after observation reasonably possible, in writing / email and sufficient detail.
7.2 If it is demonstrated that the products do not conform to the contract, Penpal Junkie can choose to return the products and replace it by new products or to refund the invoice value.
7.3 If you have a product that you don´t want )for whatever reason) you as individuals have the right to return the product within seven (8) days after delivery to return the Penpal Junkie Returns are only accepted if the packaging of the product is undamaged, it also applies that the costs for returns are at your expense.
Article 8. Guarantee
8.1 If Penpall Junkie supplies products to the customer Penpal Junkie is never responsible for a further guarantee in relation to the buyer that Penpal Junkie then held against its supplier may claim. Warranty will always be clearly indicated on the invoice.
Claims due to visible defects must conform to the contract and made clear within 7 (seven) days after receipt of the goods by the customer in writing. For consumers this is a period of 30 (thirty) days. Complaints received by the company after the expiry of that period, need not to be dealt with by Penpal Junkie.
Article 9. Orders / communication
9.1 For misunderstanding, delays or improper orders and messages resulting from the use of Internet or any other communication between you and Penpal Junkie, or between Penpal Junkie and others, as it relates to the relationship between you and Junkie Penpal, Penpal Junkie has no liability except to the extent there may be intent or gross negligence of Penpal Junkie.
Article 10. Force Majeure
10.1 Without prejudice to its other rights, Penpal Junkie has in the event of force majeure the right, at its option, to suspend your order or to terminate the contract without judicial intervention, by you to notify Penpal Junkie in writing without being liable for any damages, unless the circumstances to standards of reasonableness and fairness would be unacceptable.
10.2 Force majeure means any failure which can not be attributed Penpal Junkie, because it is not due to her fault and not under the law, legal action or generally accepted at its expense.
Article 11. Other items
11.1 If you order by Penpal Junkie by means of writing, Penpal Junkie is entitled to send all orders to that address, unless you give a different address (by writing) Penpal Junkie which your orders are to be sent.
11.2 Where Penpal Junkie for a short or longer time, tacitly or deviations from these Conditions, will not prejudice their right to demand immediate and strict compliance with these Conditions. You shall never be entitled to enforce any rights on the grounds that Penpal Junkie uses these conditions smoothly.
11.3 If one or more of the provisions of these Terms or any other agreement with Penpal Junkie is in conflict with any applicable legal provision, the provision concerned shall lapse and will be replaced by a Penpal Junkie new legally permissible comparable provision.
11.4 Penpal Junkie is competent in the execution of your order (s) use of third parties.
Article 12. Applicable law and jurisdiction
12.1 All rights, obligations, offers, orders and agreements to which these Conditions apply, including these conditions, only the Dutch law is applicable.
12.2 All disputes between parties will be submitted to the competent court in the Netherlands.
